Hucknall Business Club Constitution

Who We Are

1. The name of the group is Hucknall Business Club (“the Group”).
2. The businesses in Schedule 1 (“the Members”) are responsible for the success of the Group.

Our Aims

1. To raise the profile of the Group in Ashfield and surrounding areas;
2. To improve the value proposition of each Member to other businesses through promotion and recommendation;
3. To campaign and raise awareness of local events in Ashfield; and
4. To engage proactively with Ashfield District Council and its Members, where applicable.
5. To unite local people to participate in local events, share skills and resources, build friendships and commercial enterprises.
6. To inspire, engage and empower local people to create a business in the local area.

Powers

1. To further the Aims, the Group may exercise the following powers:
   1. To bring together representatives of voluntary and statutory organisations, government departments and individuals in the community.
   2. To produce newsletters, campaigns and general promotions to publicise the Group activities or any individual Member activities.
   3. To hold meetings; or
   4. Do anything which is lawful and necessary to achieve the Aims.

Membership

1. Membership of the Group shall be open to all businesses in the Ashfield District area or surrounding areas who are in sympathy with the Group’s Aims and willing to comply with the Group’s Constitution.
2. Membership shall be open regardless of faith, gender, ethnicity, disability, sexual orientation, and economic status.
3. The Group will be non-party political and is strongly committed to non-discriminatory practices and equal opportunities for all.
4. Each Member shall be entitled to raise Group matters at the Meetings.
5. Membership is entirely voluntary.
6. The Group requires each Member to attend at least 4 meetings per annum to be able to benefit from advertising and promotion.
7. Only one representative of each Member shall be entitled to vote on Group matters.
8. No Member shall be entitled to enter into legally enforceable agreements for or on behalf of HBC unless permission has been given by the Chair in writing.
9. No Member shall be entitled to remove, destroy, amend or cancel, or procure the removal, destruction, amendment or cancellation of, any HBC logo, brand colours, subscriptions, or informal agreement between HBC and other entities without a majority vote of the Members.

Meetings

1. Meetings are held once a month on the first Thursday of the month, subject to change.
2. The meetings are generally held at the Bowman Public House in Hucknall, but HBC shall, at its option, relocate to other venue(s) with majority approval from time to time.
3. If any Member has a conflict of interest, or may give rise to a potential conflict of interest, it shall excuse itself from the Meeting until such matters have been concluded.
4. HBC shall, at its option, create reasonable additional rules to facilitate the running of HBC.
5. Any decision of the Group must not conflict with or contravene English law.
6. Each Member is responsible for ensuring that their current details are provided to the Chair.

Revocation or Suspension

1. HBC acts fairly to all of its Members, but the membership of any Member will be revoked automatically if it is found that:
   1. A Member has brought HBC into disrepute;
   2. A Member has not attended any Meetings for 6 months without good reason;
   3. A Member has been found guilty of fraudulent activities and/or its representative has been disqualified as a director due to fraud; or
   4. A Member, or its representative, has committed a serious criminal offence.
2. Where there is an insufficient number of Members attending the meetings, the remaining Members may determine that HBC should be suspended, either temporarily or permanently, provided 1 month’s prior written notice has been given to all known existing Members of its intention to do so.

Social Media

1. Each Member agrees to the Social Media Policy, as updated from time to time.
2. HBC accepts no liability for any mistakes, errors, or omissions in any posts created by HBC on behalf of a Member, and it shall be the Member’s responsibility to provide the correct information to HBC.

No Partnership or Agency

1. Nothing in this document shall create a partnership or agency between HBC or its Members, or between the Members.
